Terms of Service

Age and Legal Capacity

You must be at least 18 years of age and possess the legal capacity to enter into this agreement. If you are using Wyte Card on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

Account Creation and Security

When you create your Wyte Card account, you agree to provide accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

You may delete your account at any time through the app settings. We may refuse service or terminate accounts that provide false or misleading information.

Your License to Use Wyte Card

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use Wyte Card for your personal or business networking purposes. This license does not include the right to:

• Copy, modify, create derivative works, or reverse engineer any part of our service
• Use our service for any illegal or unauthorized purpose
• Interfere with or disrupt our servers or networks
• Access our service through automated means without permission

Your Content and Profile Information

You retain ownership of all content you submit to Wyte Card, including your profile information, photos, and contact details ("User Content"). However, by using our service, you grant us a worldwide, non-exclusive, royalty-free license to use, store, display, and distribute your User Content solely for the purpose of providing our digital business card services.

You are solely responsible for your User Content and must ensure it does not violate any laws or third-party rights. We reserve the right to remove content that violates these Terms or our community guidelines.

NFC Cards and Physical Products

When you purchase a physical NFC card from us, you receive a physical product programmed to link to your digital profile. The NFC card remains your property, but the digital profile and underlying technology remain subject to these Terms.

We warrant that NFC cards will function as described for a period of one year from purchase. This warranty does not cover damage from misuse, normal wear and tear, or accidental damage.

Prohibited Uses

You agree not to use Wyte Card for any unlawful purpose or in any way that could harm our service or other users. Prohibited activities include but are not limited to:

• Uploading false, misleading, or impersonating information
• Sharing content that is illegal, harmful, threatening, or offensive
• Using the service to spam, harass, or solicit others inappropriately
• Violating any applicable laws or regulations
• Attempting to gain unauthorized access to our systems
• Using the service for any commercial purpose not related to professional networking

Payments and Subscriptions

Physical NFC cards and premium features may require payment. All fees are non-refundable unless required by applicable law. We reserve the right to change our pricing with 30 days' notice.

If you subscribe to premium features, your subscription will automatically renew until cancelled. You can cancel your subscription at any time through your account settings or app store.

Intellectual Property

Wyte Card and all related trademarks, logos, and technology are owned by Openup Technologies Inc. and protected by intellectual property laws. You may not use our trademarks or proprietary technology without our written permission.

If you believe content on our platform infringes your intellectual property rights, please contact us at support@wytecard.com with detailed information about the alleged infringement.

Third-Party Services

Our service may contain links to or integrate with third-party services. We are not responsible for the content, privacy practices, or terms of service of these third parties. Your use of third-party services is at your own risk.

Service Availability

We strive to maintain reliable service but cannot guarantee 100% uptime. We may suspend or modify our service for maintenance, updates, or other operational needs. We will provide reasonable notice when possible.

Termination

Either you or we may terminate your account at any time. We may suspend or terminate accounts that violate these Terms. Upon termination, your right to use our service ends immediately, though some provisions of these Terms will survive termination.

Disclaimers and Limitation of Liability

Wyte Card is provided "as is" without warranties of any kind. We disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose.

To the maximum extent permitted by law, Openup Technologies Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of Wyte Card. Our total liability for any claims shall not exceed the amount you paid us in the 12 months preceding the claim.

Indemnification

You agree to indemnify and hold harmless Openup Technologies Inc. and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of Wyte Card or violation of these Terms.

Governing Law and Dispute Resolution

These Terms are governed by the laws of Texas, United States. Any disputes will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Travis County, Texas.

You waive any right to participate in class action lawsuits or class-wide arbitration. You may opt out of arbitration by emailing us within 30 days of creating your account.

Changes to These Terms

We may modify these Terms at any time. We will notify you of significant changes through the app or via email. Your continued use of Wyte Card after changes constitute acceptance of the new Terms.

Miscellaneous

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force. Our failure to enforce any provision does not constitute a waiver of our rights.

These Terms constitute the entire agreement between you and Openup Technologies Inc. regarding Wyte Card and supersede any prior agreements.
